The situation

The process created a clearer audit trail, stronger governance and a more defensible basis for the decisions taken.
The case also demonstrates an important point for employers: TUPE does not prevent organisational change, but the transfer and any later restructuring need to be handled carefully, with clear rationale, meaningful consultation and evidence behind the decisions.
